Snyder’s-Lance, Inc. and its board of directors, along with Campbell Soup Company and Twist Merger Sub, Inc., are facing a stockholder’s claims that the parties filed a misleading proxy statement regarding a potential merger between Snyder’s and Campbell Soup. The suit argues that the statement was missing information concerning Snyder’s financial projections and the analyses performed by its financial advisor, Goldman Sachs & Co. LLC. As a result, the plaintiff alleges, stockholders were denied access to all the information they need to determine whether they should vote in support of the merger.
