A stockholder has filed claims against INC Research Holdings, Inc. and the members of its board of directors alleging that they issued an “incomplete and misleading” proxy statement in connection with a merger between INC and inVentiv Health, Inc. In a proposed class action lawsuit, the plaintiff claims that INC was “well-positioned for financial growth” and that the merger proposal “fails to adequately compensate” stockholders. The complaint demands that the defendants release information concerning the two companies’ financial projections and the details of valuation analyses performed by INC’s financial advisor. Without this information, the plaintiff argues, stockholders are unable to decide whether they support the merger.
